1. Acceptance of Terms
By creating an account, downloading, installing, or using the Slates desktop application (also known as slates-social) or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Blueprint Online Learning Inc., doing business as Slates (“Slates,” “slates-social,” “we,” “us,” or “our”). Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference.
2. Eligibility
You must be at least 18 years of age to use Slates. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
Slates involves financial transactions and AI-generated content creation. We do not knowingly provide the Service to anyone under 18. If we discover that a user is under 18, we will terminate their account and delete their data.
3. Description of Service
Slates is an AI video and image creation studio. The Service includes:
- A desktop application for creating images, videos, and storyboards using AI models
- Credit-based access to AI generation routed through our proxy servers (“Proxy Mode”)
- Bring-your-own-key (BYOK) support for direct access to third-party AI providers using your own API keys (“BYOK Mode”)
Slates acts as a technical interface and intermediary. We do not develop, train, host, or control the underlying AI models. All AI generation is performed by third-party providers including, but not limited to, Google (Gemini, Imagen) and fal.ai.
4. Accounts
- You must provide a valid email address to create an account.
- You are responsible for maintaining the confidentiality and security of your account credentials.
- You are responsible for all activity that occurs under your account.
- Sessions are limited to 2 active devices. Logging in on a third device will automatically revoke the oldest active session.
- You may not share, sell, or transfer your account to another person.
- We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.
5. Software License
Grant of License
We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Slates desktop application on devices you own or control, solely for your personal or commercial creative purposes, subject to these Terms.
Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of the software
- Reverse engineer, decompile, or disassemble the application
- Remove, alter, or obscure any proprietary notices in the software
- Use the software to develop a competing product or service
Updates
We may release updates to the software from time to time. Continued use of the software after an update constitutes acceptance of any changes. Your license includes updates for 12 months from the date of purchase (for Founder's License holders).
6. Purchases, Credits & Refund Policy
Founder's License ($79 One-Time Purchase)
- The Founder's License grants access to the Slates desktop application and all features.
- The license includes $10 in Slates Credits added to your account upon purchase.
- The license includes 12 months of free updates from the date of purchase.
30-Day Refund Policy (Founder's License)
You may request a refund of your Founder's License within thirty (30) days of purchase. The refund amount is calculated as follows:
Refund = License Fee Paid − Retail Value of Credits Consumed
Credits included with your license and any additional credits consumed during the refund period are valued at their standard retail purchase price. Credits, once consumed (used to generate content), are non-refundable.
Example
If you purchased the $79 Founder's License and consumed $10 worth of credits (including the included credits), your refund would be $69.
After thirty (30) days from the date of purchase, the Founder's License fee is non-refundable.
Slates Credits
Purchase & Balance
- Credits are purchased in advance and added to your account balance.
- All standalone credit purchases are non-refundable once the transaction is complete.
- Credits are denominated in US cents internally and displayed as dollar amounts in the application.
No Expiration
Credits do not expire. Your balance remains available until used, regardless of when purchased. We reserve the right to introduce expiration policies for future credit purchases with at least 90 days' written notice. Existing balances at the time of such a change will not be affected.
Pricing
- The credit cost per generation is displayed in the application before you confirm a generation.
- We may adjust credit pricing (cost per generation) at any time. Price changes apply to future generations only.
- Current pricing is available within the application and on our website.
Usage
- Credits are deducted at the time a generation request is submitted.
- Failed generations caused by provider errors (not user input errors) will be refunded to your credit balance automatically.
- Credits cannot be transferred between accounts.
- Credits are not currency. They have no cash value and cannot be redeemed for cash.
By purchasing credits, you acknowledge that credits are non-refundable digital goods and that you are waiving any right to a refund for credits once purchased.
Payment Processing
All payments are processed by Stripe, our third-party payment processor. By making a purchase, you also agree to Stripe's Terms of Service. We do not store your payment card information on our servers.
7. Bring Your Own Key (BYOK)
When you use your own API keys (“BYOK Mode”), you are directly contracting with the third-party AI provider. Slates acts solely as a technical interface and bears no responsibility for the availability, quality, content filtering, pricing, or output of third-party services accessed via your keys.
- Your API keys are stored encrypted on your local device using OS-level encryption (Electron safeStorage / OS Keychain). Keys are never transmitted to or stored on Slates servers.
- You are solely responsible for safeguarding your API keys. If your keys are compromised, lost, or misused, Slates bears no liability.
- You represent and warrant that your use of third-party API keys through Slates complies with the terms of service of the applicable third-party provider.
- We are not responsible for any charges, fees, overages, or other costs incurred on your third-party accounts.
- We make no guarantee that third-party APIs will remain available, functional, compatible with Slates, or priced at any particular rate.
- Third-party providers may change their terms, pricing, content policies, or API specifications at any time, and such changes may affect BYOK functionality in Slates.
8. Content & Intellectual Property
Your Content
- You retain ownership of all inputs (prompts, reference images, settings) you provide to the Service.
- You grant us a limited, non-exclusive license to process your content solely as necessary to provide the Service (e.g., transmitting prompts to AI providers via our proxy servers). We claim no other rights to your content.
- Your prompts and generated content are not used by Slates to train any AI models.
AI-Generated Content
- You may use AI-generated content created through Slates for personal and commercial purposes, subject to these Terms and the usage policies of the underlying AI providers.
- Slates makes no representations or warranties regarding the copyright status, intellectual property ownership, or legal protections of AI-generated content. Under current law, purely AI-generated content may not be eligible for copyright protection. You are solely responsible for determining the legal status of content you generate.
- AI-generated content may not be unique. Other users using similar prompts may receive similar or identical outputs.
- AI-generated outputs are subject to the terms and usage policies of the underlying AI providers. You are responsible for reviewing and complying with those terms.
Prohibited Content
You may not use Slates to generate, attempt to generate, or distribute content that:
- Is illegal in your jurisdiction or ours
- Constitutes child sexual abuse material (CSAM) — zero tolerance, immediate and permanent account termination without refund
- Depicts non-consensual intimate imagery of real people (including AI-generated deepfakes of a sexual nature)
- Is designed to harass, threaten, stalk, or defame specific individuals
- Impersonates real individuals without their consent for deceptive purposes
- Is deliberately deceptive content intended to mislead the public (deepfakes for fraud, scams, election manipulation, etc.)
- Infringes on the intellectual property rights of any third party
- Promotes terrorism, violence, or hate against protected groups
We reserve the right to terminate accounts that violate these policies immediately, without notice, and without refund.
9. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application
- Use the Service to attack, abuse, or overload our servers or any third-party provider's infrastructure
- Share, resell, sublicense, or transfer your account, license, or credits to any third party
- Automate usage beyond normal human interaction (no bots, scripts, or automated systems that bulk-generate content)
- Circumvent any rate limits, usage restrictions, content filters, or security measures
- Use the Service to develop a competing product or service
- Attempt to access other users' accounts, data, or credits
10. Third-Party Services
Slates integrates with and relies upon third-party services including AI providers (Google, fal.ai), payment processors (Stripe), and infrastructure providers. These services are governed by their own terms and privacy policies.
- We are not responsible for the acts, omissions, availability, or policies of any third-party service.
- Changes to third-party services may affect the functionality, cost, or availability of features within Slates.
- We will make reasonable efforts to adapt to third-party changes, but we cannot guarantee uninterrupted compatibility with any third-party service.
11. Copyright Policy (DMCA)
We respect intellectual property rights and expect our users to do the same.
Reporting Copyright Infringement
If you believe that content generated or distributed through our Service infringes your copyright, you may submit a notice to our designated agent at hello@slates.video with the subject line “DMCA Takedown Request.”
Your notice must include:
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and information sufficient to locate it
- Your contact information (name, address, phone, email)
- A statement that you have a good faith belief the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
- Your physical or electronic signature
Repeat Infringer Policy
We maintain a policy of terminating the accounts of users who are repeat infringers of intellectual property rights.
12. User Indemnification
You agree to indemnify, defend, and hold harmless Blueprint Online Learning Inc. (d/b/a Slates), its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Service
- Content you create, generate, or distribute using the Service
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right
- Your violation of any applicable law or regulation
- Your use of third-party API keys (BYOK Mode), including any charges, claims, or disputes with third-party providers
- Any claim that content you generated caused damage to a third party
This indemnification obligation survives termination of your account and these Terms.
13. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties regarding the accuracy, reliability, or completeness of AI-generated content; warranties regarding the availability, security, or error-free operation of the Service; warranties regarding the intellectual property status or copyright protections of AI-generated content; and warranties regarding the performance, availability, or pricing of third-party AI providers.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- Slates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Our total aggregate liability for all claims shall not exceed the total amount you paid to Slates in the twelve (12) months preceding the event giving rise to the claim.
- We are not responsible for the output, quality, accuracy, or content of AI models, whether accessed via Proxy Mode or BYOK Mode.
- We are not responsible for any decisions, actions, or consequences resulting from your use of AI-generated content.
- We are not responsible for charges incurred on your third-party API accounts (BYOK Mode).
- We are not responsible for any claim that AI-generated content infringes upon third-party intellectual property rights.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Service Availability & Discontinuation
- The Service is provided without guarantees of uptime or availability.
- We rely on third-party AI providers and infrastructure services. Outages, changes, or discontinuation on their end may affect the Service.
- If we permanently discontinue the Service, we will provide at least 30 days' notice via email to all registered users, during which time you may use your remaining credits.
- We are not liable for any losses resulting from service interruption, modification, or discontinuation.
16. Termination
By You
You may stop using the Service at any time. Account deletion requests can be submitted through the application or by contacting us at hello@slates.video. See our Privacy Policy for details on data deletion.
By Us
We may suspend or terminate your account at any time, with or without cause and notice. Grounds for termination include:
- Violation of these Terms or our Acceptable Use or Prohibited Content policies
- Fraudulent, abusive, or illegal activity
- Extended inactivity (12+ months with no login)
- Requests from law enforcement or government agencies
Upon termination, your license to use the software is revoked. Any remaining credit balance will be forfeited unless termination was without cause, in which case we will make reasonable efforts to allow you to use your remaining credits within 30 days.
17. Dispute Resolution
Informal Resolution First
Before initiating any formal dispute, you agree to contact us at hello@slates.video and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration
If we cannot resolve a dispute informally, you and Slates agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the ADR Institute of Canada, rather than in court. Arbitration shall be conducted by a single arbitrator in English. The arbitrator's decision shall be final and binding.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Slates.
Small Claims Exception
Either party may bring an individual action in small claims court in the Province of British Columbia for disputes within the court's jurisdictional limits.
Opt-Out
You may opt out of this arbitration agreement by sending written notice to hello@slates.video within 30 days of creating your account. If you opt out, disputes will be resolved in the courts of British Columbia, Canada.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts located in the Province of British Columbia.
19. Changes to Terms
- We may update these Terms at any time.
- Material changes will be communicated via email at least 30 days before they take effect.
- Continued use of the Service after changes take effect constitutes acceptance.
- If you do not agree with updated Terms, you must stop using the Service and may request account deletion.
20. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Slates regarding the Service and supersede all prior agreements, understandings, or representations.
